Q:When having a Malta registered company, are any types of meetings required? | Jingle Global Enterprise Insights
A:Yes, there are two main types of shareholders meeting that may be held, namely, the annual general meeting and the extraordinary general meeting. An Annual General Meeting must be held once a year.
Any other meeting which is held during the year is called an Extraordinary General Meeting. Such meetings may be convened by the directors, either upon their own initiative, or following a request of the shareholders which hold at least 10% of the paid up share capital of the company.
The notice to hold these meetings must be given in writing to all shareholders at least 14 days before the established date, unless all members agree to a shorter notice.
The minutes of the proceedings of the general meeting must be kept at the company’s registered office.
